1. Definitions

“Company,” “we,” “our,” “us”

“Site”

“Services”

1-to-1 or group coaching programs (Diabetes, GUT Harmony, Wholistic Circle, etc.), functional testing, supplement recommendations, prescription-discount service, digital resources, community forums, e-mail or text support

“Client,” “you,” “your”

Anyone who browses the Site, purchases a program, scheduling package, test kit, or otherwise uses our Services


2. Acceptance of Terms

By accessing the Site or purchasing/using any Service, you confirm that you are at least 18 years old (or have the consent of a parent/guardian) and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site or Services.


By using the Site, booking Services, or clicking 'I Agree' or similar, you consent to conduct transactions electronically and to accept these Terms as a legally binding agreement.

3. Nature of Services & Professional Disclaimer

  1. Educational & coaching focus only. All content (articles, calls, videos, emails, texts, functional-test interpretations, supplement suggestions) is provided for general education, habit-change support, and accountability.

  2. Not medical advice. These statements have not been evaluated by the Food and Drug Administration. Nothing on the Site or in the Services is intended to diagnose, treat, cure, or prevent disease and must not replace the relationship with your licensed physician or other qualified healthcare provider. Never delay or disregard professional medical advice because of something you have read or received through our Services.

  3. Pharmacy background limitation. Although Dr. Shah is a licensed pharmacist; he provides Services solely in the capacity of a holistic health coach. He does not dispense prescription medications, adjust dosages, or does not establish a doctor–patient, pharmacist–patient, or other licensed healthcare provider relationship under Federal and Texas pharmacy laws.

4. Client Responsibilities & Informed Consent

You acknowledge that:

  • You are responsible for working with your own physician before, during, and after using our Services, especially if you have a medical condition, are pregnant/nursing, take prescription drugs, or are under 18.

  • Lifestyle changes (e.g., fasting, whole-food plant-based eating, movement, stress management) may produce strong physical or emotional responses; you voluntarily assume all associated risks.

  • Full, accurate disclosure of your medical history, medications, allergies, and test results is essential for safe coaching.

  • Results vary; we do not guarantee reversal of any condition, weight-loss amount, or specific lab outcome.

5. Program Enrollment, Fees & Payment

  1. Pricing. Current program fees are:

    • Diabetes, Insulin Resistance & Weight-Balance Program – USD 1,499 (4 months)

    • GUT Harmony & Digestive-Reset – USD 1,499 (4 months) (will launch in June 2026)

    • Wholistic Circle – USD 999 (4 months)

    • Functional tests (Nutrigen, TruAge, TruHealth) – USD 499 each (includes 50-min review)

    • Supplements – retail price shown in the Pure Direct portal.

  2. Payment terms. Unless a separate written payment plan is offered at checkout, full program fees are charged at enrollment. You authorize us (or our payment processor) to store and automatically charge the card on file for all fees, applicable taxes, and any late-payment amounts.


  1. Refund policy.

    • Before program start: Written cancellation within 14 days of purchase and at least 48 hours before the first scheduled session – 80% refund (20% administrative fee).

    • After program start or digital download delivery: All fees are non-refundable. Unused coaching sessions expire at the earlier of the program end date or 6 months from purchase.

    • You acknowledge that digital downloads and coaching materials are delivered immediately or while providing coaching upon access and therefore are non-refundable under U.S. e-commerce regulations for digital goods.

    • Functional tests and supplements are final sale once kits ship or products are opened, per FDA regulations.

  2. Chargebacks. You agree to contact us first to resolve any billing issues. Initiating an unmerited chargeback will be treated as a material breach and may result in debt collection and reporting to credit bureaus.

    You agree that initiating a chargeback without first attempting to resolve the issue with us in writing constitutes a breach of contract and fraud under applicable law.

6. Scheduling, Rescheduling & No-Show Policy

  • Sessions are booked in our HIPAA-compliant portal.

  • Reschedule or cancel with at least 24 hours’ notice to avoid forfeiture.

  • We allow one courtesy reschedule per month; further last-minute changes may incur a USD 50 rescheduling fee.

  • If a no-show occurs, the session is marked complete.

7. Functional Testing & Supplement Disclaimers

  • We are not a clinical laboratory and do not create the test reports; we facilitate ordering, sample shipping, and coach you on lifestyle strategies. For diagnosis or treatment decisions, rely on a licensed clinician.

  • All functional tests are processed and interpreted by independent, third-party laboratories. TruDiagnostics offer TruAge as well as TruHealth and Fargon Genomics US for Nutrigen. We do not control their processes, reference ranges, or reporting practices. We make no representations regarding their accuracy, compliance, or clinical validity.

  • Legal Disclaimer from Fargon Genomics US for Nutrigen Test:

    These products are not evaluated by the Food and Drug Administration and are not intended to diagnose, treat, cure or prevent disease. Report contents and report recommendations are generated by the Medical Director of GX Sciences LLC and are intended to be informational only. Only an appropriately licensed health care professional, as a learned intermediary, can determine if a treatment protocol is appropriate for a specific patient. Our tests do not replace a medical consultation, nor do they make up a diagnostic or treatment, nor should they be interpreted this way. Only healthcare professionals can clinically interpret the results of said tests, based on their knowledge of the clinical records of the patients and other relevant factors and, under their responsibility, give a diagnostic or prescribe treatment to the patient. GX Sciences LLC declines all responsibility derived from the use and interpretation of the results of our tests by the solicitant healthcare professional and the patient. GX Sciences LLC expressly reserves any legal actions in case of an inappropriate, negligent or incorrect use or interpretation of the results of our tests. It is the responsibility of the healthcare professional and patient who requests a test to follow appropriate medical guidance and advice. Genetic testing is not available to residents of NY, RI, PA.

  • Legal Disclaimer from TruDiagnostic and Pure Encapsulation is available to review while enrolling for those services.

  • False positives/negatives are possible; labs set their own reference ranges. You release us from any claims arising from test inaccuracies, delays, lost samples, or laboratory errors.

  • Supplements recommended are optional; you are responsible for checking interactions and having your doctor approve any new supplement regimen.

We do not manufacture or test supplements and make no guarantees regarding safety, efficacy, or quality. You are solely responsible for consulting your healthcare provider before using any supplement, especially if pregnant, nursing, or taking medication.

8. Prescription-Discount Service

Our discount feature provides potential savings on prescription drugs through third-party networks. Savings are not guaranteed, cannot be combined with insurance, and we do not process or dispense medications. Always compare prices and ask your pharmacy to apply the best option for you.


9. Use of Third-Party Services

As part of our coaching programs, we may recommend or facilitate access to third-party services, including but not limited to:

  • Genetic testing laboratories (e.g., Fargon US Nutrigen Test)

  • Biological age testing services (e.g., TruDiagnostic)

  • Nutritional supplement providers

  • Prescription discount services (e.g., RXGO.com)

You acknowledge and agree that:

  1. These third-party services are offered independently and are subject to their own terms and conditions and privacy policies.

  2. We do not own, control, or operate these third-party services and are not responsible for the accuracy, safety, or effectiveness of their offerings.

  3. Your decision to engage with any third-party provider is entirely voluntary and at your own discretion.

  4. We are not liable for any loss, injury, data breach, or issue arising from your use of third-party services.

  5. Any data you choose to share with these providers (including health or genetic information) is governed by their privacy policies, not ours.

By using or participating in these services as part of your coaching program, you agree to release Dr. Pratik Shah Health Coaching and its affiliates from any liability related to such third-party services.

10. Intellectual Property

All Site content—logos, trademarks, videos, guides, handouts, the “Discover-Transform-Simplify” framework, and the Wholistic For You brand concept—is our exclusive property and protected by U.S. and international copyright law. You receive a personal, non-transferable, revocable license for your own use only. Re-publication, resale, or distribution requires prior written consent. 

11. User Conduct & Community Standards

You agree not to:

  • Upload or transmit viruses, unsolicited promotions, or defamatory content;

  • Impersonate another person or misrepresent your affiliation;

  • Harvest data from the Site;

  • Post medical information about another individual without consent;

  • Violate any applicable laws. 

We may suspend or permanently remove your access for violations.

12. Privacy & Confidentiality

We maintain administrative, technical, and physical safeguards consistent with HIPAA for health-related information collected in coaching. However, the Site itself is not a covered entity and is offered “as is.” See our Privacy Policy for details on cookies, analytics, and email marketing consents.


13. Testimonials & Outcomes

Testimonials represent the personal experiences of specific clients; they are not intended to guarantee similar results for everyone. Individual success depends on genetics, commitment, baseline health, and many variables beyond our control. Results are not typical and depend on numerous personal health and lifestyle factors.

14. Disclaimers, Limitation of Liability & Indemnity

  1. No warranties. The Site and Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose. 


  1. Limitation of liability. To the maximum extent permitted by law, our aggregate liability for claims arising out of or related to the Services will not exceed the fees you paid us in the 12-month period preceding the claim. We will not be liable for any indirect, consequential, special, exemplary, or punitive damages.

  2. Indemnification. You agree to indemnify and hold harmless the Company, its owners, employees, contractors, and affiliates against any claims, damages, liabilities, costs, or expenses (including attorneys’ fees) arising from your use of the Services, breach of these Terms, or violation of applicable law. 

15. Health Coaching Legal Disclaimer

  • Medical Disclaimer
     This program is for educational and lifestyle coaching purposes only and is not a substitute for medical advice, diagnosis, or treatment. Always consult with your licensed physician before making any changes to your health regimen.

  • Pharmacist License Disclosure
     Although the founder is a licensed pharmacist, they are not practicing pharmacy within this coaching program. No pharmacist-patient relationship is established, and no medication related advice will be provided.

  • No Doctor-Patient Relationship
     Participation in this program does not create a doctor-patient or provider-client relationship. You are encouraged to maintain and follow guidance from your licensed healthcare provider.

  • Supplement Disclaimer
     Any nutritional supplements offered through this program are not intended to diagnose, treat, cure, or prevent any disease. Individual results may vary. Always consult with a healthcare provider before taking any new supplement.

  • Genetic and Biomarker Testing Disclaimer
     Testing services such as biological age, nutrigenomics, and biomarker analysis are provided by third-party labs. We do not interpret diagnostic results or provide medical recommendations based on these tests. Please consult your healthcare provider for clinical interpretation.

  • FDA Disclaimer
     Statements made on this site and during coaching sessions have not been evaluated by the Food and Drug Administration. Products and services are not intended to diagnose, treat, cure, or prevent any disease.

  • Diabetes Coaching Scope Disclaimer
     Our coaching programs are not intended to reverse, cure, or treat diabetes. We support lifestyle and nutrition habits that may promote wellness and improved metabolic health. All changes to medication or treatment should be coordinated with your physician.

  • Individual Results Disclaimer
     Results from coaching programs, supplement use, or lifestyle changes will vary based on individual commitment, underlying health, and external factors. No outcome is guaranteed.

  • Informed Consent Statement
     By participating in coaching or purchasing any services/products, you acknowledge and agree that you understand the nature and limitations of this service, and that your participation is voluntary.

  • Liability Limitation
     The company, its coaches, and affiliated partners are not liable for any loss, damage, or injury resulting from your use of the coaching program, supplements, or third-party testing. Always act under the guidance of your healthcare provider.

16. Modification of Terms

We may revise these Terms at any time by posting the updated version on the Site. Your continued use after changes become effective constitutes acceptance. Material changes will be announced by email or the Site banner. 

17. Termination

We reserve the right to terminate or suspend your access for any reason, including non-payment, breach, or conduct we deem harmful. Upon termination, all licenses granted to you end immediately.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. You agree to resolve any dispute through good-faith negotiation; if unresolved, exclusively in the state or federal courts located in or nearest to Flower Mound, Texas. You consent to personal jurisdiction and waive any forum non convenience defense.

19. Severability

If any provision of these Terms is found unenforceable, the remainder will remain in full force and the invalid provision will be deemed modified to the limited extent necessary to render it enforceable.

20. Entire Agreement

These Terms, together with any signed coaching agreement or supplemental written policies referenced herein, constitute the entire agreement between you and Heal. with Pratik and supersede prior communications.

21. Binding Arbitration & Class Action Waiver


You agree to resolve any dispute, claim, or controversy arising out of these Terms or the use of our Services exclusively through final and binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action or class-wide arbitration.
